Re: LANDFILL GAS UTILIZATION AGREEMENT EXTENSION WITH VILLAGE FARMS

Notice is hereby given by the City of Vancouver ("City") of its intent to extend the existing contract with Village Farms for the sale of landfill gas collected at the Vancouver Landfill.

DESCRIPTION: The City intends to continue to sell a portion of the City-collected landfill gas, not already committed to City use.

REASONS FOR THE DIRECT AWARD: The City and Village Farms have a long standing (20 year) contract for the beneficial use of landfill gas in Village Farms operations. Currently the landfill gas delivered to Village Farms is used to generate power and produce heat for use in their greenhouse operations. The infrastructure to supply the City-collected landfill gas to Village Farms, including blowers and pipelines is already in place and continues to function properly.

The existing contract comes to an end in 2023 and needs to be extended to take advantage of existing infrastructure and new opportunities for landfill gas utilization. As part of the contract extension Village Farms is committed to transitioning from a combined heat and power system to a new system designed to produce biomethane from landfill gas as well as to recover CO2 from the gas for beneficial use in their facilities (further reducing the impacts of carbon pollution). The RNG produced will then be transmitted through a new pipeline developed by Village Farms, for delivery to a 3rd party.

The City of Vancouver is committed to maximizing the beneficial use of landfill gas through secure, long term relationships.

TERM: 20 years

The contract is valued to provide approximately $400,000 - $600,000 in revenue per year depending on the volume of landfill gas collected and delivered to Village Farms, decreasing over time as the volume of landfill gas dissipates.
